These Terms of Service ("Terms", "Agreement") govern your access to and use of the MyNutriPath website, mobile application, and related services (collectively, the "Service") operated by MyNutriPath ("Company", "we", "our", or "us").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 13 years of age (or 16 years of age in the European Economic Area) to use the Service. If you are under 18 years of age (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms.

2.2 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account

• Not create multiple accounts or accounts using automated means

We reserve the right to refuse registration or cancel accounts at our sole discretion, without notice or liability.

3. License to Use the Service

3.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use.

3.2 Restrictions

You agree NOT to:

• Copy, modify, distribute, sell, lease, or sublicense the Service
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service
• Remove, alter, or obscure any proprietary notices on the Service
• Use the Service for any illegal, unauthorized, or prohibited purpose
• Use automated systems (bots, scrapers, spiders) to access the Service
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service or related systems
• Use the Service to transmit viruses, malware, or other malicious code
• Collect or harvest information about users without their consent
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service to compete with us or develop competing products or services
• Reproduce, redistribute, or commercially exploit recipes or content beyond personal use
• Use the Service in any manner that could damage, disable, overburden, or impair the Service

4. Subscription and Payment Terms

4.1 Subscription Plans

Certain features of the Service require a paid subscription. By purchasing a subscription, you agree to pay all fees associated with the subscription plan you select.

4.2 Billing and Payment

• Subscription fees are billed in advance on a recurring basis (monthly or annually)
• You authorize us to charge your payment method for all fees when due
• You are responsible for all charges incurred under your account
• Prices are subject to change
• All fees are non-refundable except as required by law or expressly stated in these Terms
• You are responsible for all applicable taxes
• Failure to pay may result in suspension or termination of your account

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings. Cancellation will be effective at the end of the current billing period.

4.4 Free Trials and Promotional Offers

We may offer free trials or promotional offers. You must provide valid payment information to access a free trial. You will be charged at the end of the trial period unless you cancel before the trial ends. We reserve the right to modify or cancel promotional offers at any time.

4.5 Refund Policy

All sales are final. We do not offer refunds except: (a) as required by law; or (b) at our sole discretion in cases of service malfunction or error. Refund requests must be submitted to support@mynutripath.com.

4.6 Token-Based Services

Certain features may use a token-based system. Tokens are non-refundable, non-transferable, and have no cash value. Unused tokens expire according to your subscription terms or upon account termination. We reserve the right to modify token allocations and pricing.

5. User Content and Intellectual Property

5.1 Your Content

You retain ownership of content you submit to the Service ("User Content"), including recipes, comments, photos, and reviews. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User Content in connection with the Service and our business operations, including marketing and promotional activities.

5.2 User Content Representations

You represent and warrant that:

• You own or have the necessary rights to submit User Content
• Your User Content does not infringe any third-party intellectual property rights
• Your User Content does not violate any law or these Terms
• Your User Content does not contain harmful, offensive, or inappropriate material

5.3 Content Monitoring and Removal

We reserve the right (but have no obligation) to monitor, review, edit, or remove User Content at our sole discretion, without notice, for any reason, including violation of these Terms, legal compliance, or protection of our rights or the rights of others.

5.4 Our Intellectual Property

The Service, including all content, features, functionality, software, AI models, algorithms, designs, text, graphics, logos, and trademarks, is owned by MyNutriPath and protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not use our intellectual property without our express written permission.

5.5 AI-Generated Content

Recipes and content generated by our AI technology are provided for your personal use. While you may use AI-generated recipes for personal, non-commercial purposes, we retain ownership of the AI models and technology. You may not use AI-generated content for commercial purposes without a separate commercial license.

5.6 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free right to use, modify, and incorporate such feedback without compensation or attribution.

6. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws or regulations
• Infringing intellectual property rights of others
• Transmitting harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
• Impersonating any person or entity
• Interfering with or disrupting the Service or servers
• Attempting to gain unauthorized access to the Service or user accounts
• Using the Service for fraudulent or illegal activities
• Collecting or storing personal data about other users
• Transmitting spam, chain letters, or unsolicited communications
• Uploading viruses, malware, or malicious code
• Manipulating or circumventing access controls or usage limits
• Using the Service to harm minors
• Creating derivative works based on the Service
• Reselling, renting, or leasing access to the Service
• Using the Service to build competitive products or services

Violation of these prohibitions may result in immediate termination of your account and legal action.

The Service may contain links to third-party websites, services, or resources. We do not control, endorse, or assume responsibility for third-party content, services, or websites. You access third-party resources at your own risk and subject to their terms and privacy policies. We are not liable for any harm or damages related to third-party services.

8. Health and Nutritional Information Disclaimer

IMPORTANT: The recipes, nutritional information, and health-related content provided through the Service are for informational and educational purposes only and are not intended as medical advice, diagnosis, or treatment.

• Always consult with a qualified healthcare provider before making dietary changes
• The Service is not a substitute for professional medical advice
• Nutritional information may contain errors or inaccuracies
• You are responsible for verifying ingredient safety and nutritional accuracy
• We do not guarantee specific health outcomes from using our recipes
• You assume all risks related to food allergies, dietary restrictions, and health conditions
• AI-generated content may contain errors and should be independently verified
• We are not responsible for adverse reactions, allergies, or health issues resulting from recipes

If you have allergies, dietary restrictions, or health conditions, verify all ingredients and nutritional information before consuming any recipe.

9. Disclaimers and Limitation of Liability

9.1 Service Provided "AS IS"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• The quality of the Service will meet your expectations
• Any errors or defects will be corrected
• The Service is free from viruses or harmful components
• AI-generated content will be accurate, complete, or suitable for your needs

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MyNutriPath, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Health issues, allergic reactions, or adverse effects from recipes
• Errors or inaccuracies in AI-generated content or nutritional information

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless MyNutriPath, its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any law or the rights of a third party
• Your User Content
• Your unauthorized use of the Service
• Any health issues, injuries, or damages resulting from recipes or content you obtained through the Service

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us in asserting any available defenses.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting support@mynutripath.com or through your account settings. Termination does not relieve you of obligations to pay any outstanding fees.

11.2 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Non-payment of fees
• Fraudulent, illegal, or abusive activity
• At our sole discretion

11.3 Effect of Termination

Upon termination:

• Your right to access and use the Service immediately ceases
• We may delete your account and all associated data
• You remain liable for all obligations incurred prior to termination
• Sections that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability
• Unused subscription fees and tokens are forfeited

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before filing a formal claim, you agree to contact us at support@mynutripath.com and attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith for at least 30 days.

12.2 Binding Arbitration

IF INFORMAL RESOLUTION FAILS, YOU AGREE THAT ALL DISPUTES ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE WILL BE RESOLVED THROUGH BINDING ARBITRATION, RATHER THAN IN COURT, EXCEPT THAT YOU MAY ASSERT CLAIMS IN SMALL CLAIMS COURT IF YOUR CLAIMS QUALIFY.

• Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
• Arbitration will be conducted by a single arbitrator
• The arbitrator's decision will be final and binding
• Judgment on the arbitration award may be entered in any court with jurisdiction
• Each party will bear its own costs and attorneys' fees

12.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A CLASS ACTION, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

12.4 Exceptions

Either party may seek injunctive or other equitable relief in court to protect intellectual property rights.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal action or proceeding (where arbitration does not apply) shall be brought exclusively in the federal or state courts located in Wyoming, and you consent to the personal jurisdiction of such courts.

14. Copyright and DMCA Policy

We respect intellectual property rights. If you believe that content on the Service infringes your copyright, please submit a DMCA notice to support@mynutripath.com with:

• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material and its location
• Your contact information (name, address, telephone, email)
• A statement that you have a good faith belief that use of the material is not authorized
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner
• Your physical or electronic signature

We may terminate accounts of repeat infringers.

15. Export Control

The Service may be subject to export control laws and regulations. You agree not to export, re-export, or transfer the Service in violation of any applicable laws or regulations.

16. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published on the Service, constitute the entire agreement between you and MyNutriPath regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals.

19. No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision will be effective only if in writing and signed by an authorized representative of MyNutriPath.

20. Assignment

You may not assign or transfer these Terms or your rights and obligations without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

21. Additional Protections

21.1 Data Scraping and Automated Access

Unauthorized scraping, crawling, or automated access to the Service is strictly prohibited. Any attempt to extract data using automated means without express written permission constitutes a material breach of these Terms and may result in legal action, including claims for damages and injunctive relief.

21.2 Competitive Use Prohibition

You may not use the Service or any information obtained from the Service to develop, build, train, or improve competing products, services, or AI models. This prohibition survives termination of your account.

21.3 Reverse Engineering

You may not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or trade secrets of the Service. Such actions constitute theft of our proprietary information and will result in immediate termination and legal action.

21.4 Account Sharing and Resale

Account credentials are personal and non-transferable. Sharing accounts or reselling access to the Service is prohibited and constitutes a material breach. We employ technical measures to detect and prevent unauthorized account sharing.

21.5 No Guarantee of Availability

We reserve the right to modify, suspend, or discontinue the Service or any features at any time without notice or liability. We do not guarantee continuous availability of the Service.
